These General Terms and Conditions of Contract regulate access, navigation, use and contracting of the services offered through the ClicknSail website.

Hereinafter, the owner may be referred to interchangeably as “ClicknSail”, “Grupo Panian, S.L.”, “the owner”, “the platform”.

The person who accesses, browses, requests information or contracts a service through the website will be called “the user”, “the client” or “the contractor”.

2. Purpose and scope

These Terms and Conditions govern:

  • Access and use of the website.
  • The request for information about boats and nautical services.
  • Availability and pricing query.
  • The request, processing and confirmation of reservations.
  • The contracting of services offered through ClicknSail.
  • Communications between ClicknSail, the user and, where applicable, service providers.
  • Payments linked to reservations.
  • The general conditions applicable to the use of the contracted vessels and services.

These conditions will apply to all requests and reservations made through the website, by email, by telephone or through any other channel managed by ClicknSail, unless different conditions have been expressly agreed in writing.

Certain vessels, services, destinations or suppliers may be subject to particular conditions. These particular conditions will be communicated to the user before completing the contract and, in case of contradiction, they will prevail over these general conditions in what they specifically regulate.

3. Acceptance of the conditions

Access and navigation through the website implies acceptance of its conditions of use.

Requesting or formalizing a reservation implies that the user:

  • You have read these conditions.
  • Understand its content.
  • You agree to be bound by them.
  • You declare that you have sufficient legal capacity to contract.
  • Accept the particular conditions of the selected vessel or service.
  • Confirm that the data provided is complete, accurate and current.

When the user contracts on behalf of other people, he declares that he has sufficient authorization to act on their behalf and that he has communicated to them the conditions applicable to the reservation.

The electronic acceptance of the conditions will have the same validity as their acceptance by handwritten signature, in the terms permitted by the applicable regulations.

4. Ability to hire

The services offered by ClicknSail are aimed at people over eighteen years of age with sufficient legal capacity to contract.

People who do not meet these requirements must refrain from making reservations or contracting services without the intervention of their legal representative.

When the user acts on behalf of a company, association, entity or group of people, he declares that he has sufficient powers to bind said entity or group.

ClicknSail may request the information or documentation reasonably necessary to verify:

  • The identity of the contracting party.
  • His coming of age.
  • The ownership of the payment method.
  • The ability to contract.
  • The authorization to act on behalf of third parties.
  • The rating necessary to steer a vessel, where applicable.

Failure to deliver the requested documentation may prevent the confirmation or execution of the reservation.

5. Nature of ClicknSail

services

ClicknSail facilitates the search, consultation and contracting of boats and services related to navigation and nautical leisure.

Depending on the specific service, ClicknSail may act:

  • As a direct service provider.
  • As a reservation manager.
  • As an intermediary between the user and the owner, shipowner, manager or supplier of the vessel.
  • As a channel to facilitate the contracting and payment of services offered by third parties.

The condition in which ClicknSail acts will be determined based on the information provided during the reservation process, the confirmation issued and the particular conditions of the contracted service.

When the service is provided by a third party, said provider will be responsible for correctly executing the services that correspond to it, without prejudice to the obligations that legally correspond to ClicknSail.

The use of the platform does not necessarily imply that ClicknSail is the owner, owner, manufacturer, skipper, operator or insurer of all the published vessels.

6. Information about boats and services

ClicknSail will ensure that the information available on the website is clear, accurate and up-to-date.

Vessel records may contain information relating to:

  • Type and model of vessel.
  • Maximum capacity.
  • Dimensions and technical characteristics.
  • Port or place of departure.
  • Navigation area.
  • Equipment.
  • Availability.
  • Pattern need.
  • Qualification requirements.
  • Services included.
  • Optional services.
  • Guideline price.
  • Deposits or guarantees.
  • Photographs and audiovisual content.
  • Specific conditions of the supplier.

The photographs, plans, descriptions and published content are for informational purposes. There may be minor differences between the images shown and the delivered boat as a result of maintenance work, equipment replacements, upgrades, normal wear and tear or operational circumstances.

When a specific feature is essential for the user, they must communicate this before formalizing the reservation so that its availability can be expressly confirmed.

Obvious errors in publication, transcription, price, availability or description will not bind ClicknSail when it is evident that the information published is incorrect. In that case, the user will be informed and the alternatives that are reasonable given the circumstances will be offered.

7. Availability

The availability shown on the website may be indicative until the reservation has been expressly confirmed.

Submitting a request does not guarantee the availability of the vessel or service.

A vessel may no longer be available, among other reasons, for:

  • Reception of another reservation.
  • Simultaneous operations.
  • Maintenance or repair.
  • Technical incidents.
  • Decisions of the owner or supplier.
  • Port restrictions.
  • Weather or safety circumstances.
  • Errors in the availability calendar.
  • Causes beyond the reasonable control of ClicknSail.

When the requested vessel is not available before the reservation is confirmed, ClicknSail may inform the user of other vessels or dates that may fit their request.

8. Reservation process

The reservation process may comprise the following phases:

  1. Selecting a vessel or service.
  2. Indication of dates, destination, number of passengers and preferences.
  3. Sending an availability request.
  4. Communication of the price and applicable conditions.
  5. User acceptance.
  6. Making the corresponding payment, deposit or deposit.
  7. Verification of availability and necessary documentation.
  8. Reservation confirmation.

The reservation will be considered formalized when ClicknSail or the corresponding supplier has expressly confirmed the contract and the established payment conditions have been met.

Making a payment will not in itself imply definitive confirmation when the reservation is subject to additional validation, supplier acceptance, availability checking or the presentation of documentation.

Once the reservation is confirmed, the user will receive by email or other agreed means the essential information of the contract.

The user should review the confirmation and report any errors or discrepancies as soon as possible.

9. Prices

The prices will be those indicated during the reservation process or in the individual offer sent to the user.

Unless otherwise indicated, the price may be expressed by:

  • Time.
  • Half-day.
  • Full-time.
  • Night.
  • Week.
  • Rental period.
  • Service or activity.
  • Number of passengers.
  • Custom quote.

Before completing the contract, the user will be informed of the total amount or how it will be calculated.

Depending on the boat and the service, the price may include or exclude concepts such as:

  • Taxes.
  • Skipper or crew.
  • Fuel.
  • Cleaning.
  • Amarres.
  • Port fees.
  • supply.
  • Additional services.
  • Deposits or guarantees.
  • Transfers.
  • Optional equipment.
  • Management expenses.
  • Costs derived from routes or special requests.

The concepts included and excluded will be indicated in the offer, sheet, quote, confirmation or specific conditions of the reservation.

The user must review said information before accepting the contract.

10. Price errors

ClicknSail will try to avoid errors in the publication or communication of prices.

When a manifest error is detected before the provision of the service, the user will be informed as soon as possible.

In these cases, the user may choose, when appropriate, between:

  • Continue with the reservation at the correct price.
  • Request an available alternative.
  • Release the contract.

ClicknSail will not be obliged to provide a service at a manifestly incorrect price when the error is obvious and can be reasonably recognized by the user.

11. Payment methods

Payments may be made using the methods enabled at any time, which may include:

  • Bank card.
  • Bank transfer.
  • Electronic payment gateway.
  • Payment link.
  • Other expressly authorized means.

The available method may vary depending on the vessel, the amount, the advance of the reservation or the service provider.

The user agrees to use valid payment methods for which he is authorized.

ClicknSail may suspend the processing of a reservation when:

  • The payment has been rejected.
  • The amount has not been received.
  • There is reasonable evidence of fraud.
  • The information provided is incorrect.
  • The ownership of the payment method cannot be verified.
  • The user does not complete the payment within the indicated period.

Payment service providers may apply their own terms, security controls and privacy policies.

12. Partial payments, signals and pending amounts

Certain reservations may require:

  • Full payment in advance.
  • A signal or advance payment.
  • Payment of a percentage of the price.
  • Payment of the remaining amount before a certain date.
  • Payment of the balance at the time of delivery or provision of the service.

Specific conditions will be communicated before confirming the reservation.

When there is a payment schedule, the user must pay the outstanding amounts within the indicated deadlines.

Failure to pay on time may affect the validity of the reservation, in accordance with the particular conditions communicated to the user and without prejudice to the rights that legally correspond to them.

13. Billing

ClicknSail or the corresponding supplier will issue the invoice or document justifying the operation in accordance with the nature of the service and the applicable regulations.

User must provide complete and correct billing information.

When the user requests an invoice in the name of a company or professional, they must provide the company name, tax identification number, tax address and any other necessary information.

The invoice may be sent in electronic format to the email address provided by the user, when appropriate.

14. Specific conditions for each reservation

Each reservation may be subject to specific conditions relating, among other matters, to:

  • Departure and return times.
  • Delivery and return location.
  • Length of rental.
  • Authorized navigation zone.
  • Maximum number of passengers.
  • Required documentation.
  • Nautical qualification.
  • Employer hiring.
  • Use of the boat.
  • Equipment included.
  • Fuel.
  • Cleaning.
  • Deposits and guarantees.
  • Cancellations or modifications.
  • Weather conditions.
  • Additional services.
  • Port or supplier rules.
  • Pets.
  • Consumption of food or drinks.
  • Overnight stay.
  • Allowed activities.

These conditions will form part of the contract and must be respected by the user and by the people included in the reservation.

15. Documentation and navigation requirements

When the reservation is made without a skipper, the user must have:

  • The valid and sufficient nautical qualification for the boat.
  • The authorizations required in the navigation area.
  • The necessary experience and capacity.
  • The personal documentation required.
  • Any additional certificate required by the supplier or by applicable regulations.

The acceptance of a qualification may be subject to the regulations of the country, navigation area, flag of the vessel, insurance company or supplier.

ClicknSail or the supplier may request a copy of the qualification before confirming or executing the reservation.

The presentation of an invalid, insufficient, expired or unrecognized qualification may prevent the delivery of the boat.

When the reservation includes a skipper, the technical and nautical direction of the vessel will correspond to the skipper during the provision of the service.

16. User obligations

The user agrees to:

  • Provide accurate and updated information.
  • Apay the corresponding amounts.
  • Respect the reservation conditions.
  • Present at the indicated place and time.
  • Follow safety instructions.
  • Respect the maximum capacity of the boat.
  • Use the boat diligently.
  • Respect maritime and port legislation.
  • Do not carry out illegal or dangerous activities.
  • Do not give the boat to unauthorized persons.
  • Communicate any incident, breakdown or damage.
  • Respect the instructions of the skipper, crew, owner or supplier.
  • Take care of the equipment and items delivered.
  • Report any circumstance relevant to the safety of passengers.
  • Ensure that other people included in the reservation know and respect these conditions.

The contracting party will be ClicknSail’s main interlocutor and must provide the rest of the passengers with the necessary information about schedules, conditions and safety regulations.

17. Rules for using boats

The boats must be used exclusively for the purposes authorized in the reservation.

Unless expressly authorized, it will not be allowed:

  • Exceed the maximum number of occupants.
  • Navigate outside the authorized area.
  • Participate in regattas or competitions.
  • Sublease or assign the boat.
  • Transport dangerous goods.
  • Carry out illegal activities.
  • Board animals when they are not allowed.
  • Smoking in prohibited areas.
  • Manipulate equipment without authorization.
  • Steering the boat under the influence of alcohol or drugs.
  • Using the boat recklessly.
  • Ignore safety instructions.
  • Alter the elements or equipment of the boat.

Failure to comply with these rules may lead to interruption of service when necessary to protect the vessel, passengers, third parties or the marine environment.

18. Passengers and maximum capacity

The number of passengers may not exceed the authorized capacity of the vessel.

Minors must travel accompanied and under the responsibility of their parents, guardians or responsible adults.

The user must inform before booking about any circumstances that may require adaptations, special assistance or additional security measures.

The participation of people with reduced mobility, certain health conditions or special needs will depend on the characteristics of the boat and the possibility of providing the service safely.

ClicknSail will endeavor to provide reasonable information on accessibility, although not all boats will be suitable for all needs.

19. Skipper and crew

When the reservation includes skipper or crew, they will be responsible for decisions directly related to the navigation and safety of the vessel.

The user and passengers must follow their instructions.

The skipper may modify the route, reduce the navigation time, delay the departure, return to port or interrupt the activity when he considers it necessary due to:

  • Weather conditions.
  • State of the sea.
  • Passenger safety.
  • Technical breakdowns or incidents.
  • Port restrictions.
  • Instructions from the authorities.
  • Inappropriate or dangerous conduct.
  • Any circumstance that may compromise security.

Decisions made reasonably for safety reasons cannot be ignored by passengers.

20. Weather conditions and safety

Navigation and nautical activities depend on meteorological, maritime, technical and operational conditions.

The existence of rain, wind, waves, cloudiness or meteorological changes will not necessarily mean that the service must be cancelled. The decision will be made taking into account safety, applicable regulations, the characteristics of the vessel and the criteria of the skipper, supplier or person responsible for the operation.

When conditions prevent the service from being provided safely, they may be assessed, depending on the circumstances and particular conditions:

  • A time change.
  • A date change.
  • A modification of the route.
  • Replacement of the boat.
  • The interruption or cancellation of the service.
  • Another reasonable solution agreed with the user.

The economic consequences will be determined taking into account the conditions of the reservation, the actions of the supplier, the moment in which the incident occurs and the applicable regulations.

21. Modifications requested by user

The user may request changes to:

  • Dates.
  • Schedules.
  • The number of passengers.
  • The boat.
  • The output port.
  • The duration.
  • Additional services.
  • The details of the reservation holder.

Modifications will be subject to:

  • Availability.
  • Supplier acceptance.
  • Price differences.
  • Particular conditions.
  • Expenses or costs already assumed.
  • Proximity of service date.
  • Technical and operational feasibility.

The modification request does not guarantee that the change can be made.

A modification will only be effective when it has been expressly confirmed by ClicknSail or the corresponding supplier.

22. Cancellations, withdrawals and returns

The applicable cancellation conditions will be those communicated to the user before formalizing the reservation and may vary depending on:

  • The boat.
  • The supplier.
  • The date of service.
  • The advance notice with which the cancellation is requested.
  • Additional contracted services.
  • The costs already generated.
  • The particular conditions accepted.

When the user requests a cancellation, ClicknSail will inform them of the conditions applicable to their specific reservation.

The existence, scope or exclusion of the right of withdrawal will depend on the nature of the contracted service and the applicable regulations.

In particular, certain rental services, transport, accommodation or leisure activities planned for a specific date or period may be subject to legal exceptions to the right of withdrawal.

When legally required, the user will be informed before contracting about the existence or non-existence of the right of withdrawal.

The refunds that, if applicable, will be made by a reasonable method, preferably using the same means of payment used in the transaction, unless otherwise agreed.

The effective payment terms may also depend on the bank, payment platform or financial provider used.

Nothing in these conditions will limit the mandatory rights that legally correspond to the consumer.

23. Cancellations or changes by the supplier

A confirmed reservation may be affected by circumstances that prevent the service from being provided under the initially planned conditions, such as:

  • Abreakdowns.
  • Unforeseen maintenance.
  • Damage to the boat.
  • Adverse weather conditions.
  • Navigation restrictions.
  • Port closure.
  • Instructions from authorities.
  • Illness or unavailability of the employer.
  • Sudden lack of availability.
  • Circumstances of force majeure.
  • Other causes beyond the reasonable control of ClicknSail.

Where possible, reasonable alternatives may be proposed, such as:

  • A boat with similar characteristics.
  • Other date.
  • Other schedule.
  • Other port.
  • A modification of the route.
  • An equivalent service.
  • The cancellation of the reservation when there is no viable alternative.

The applicable solutions will be determined based on the specific circumstances, particular conditions, the intervention of third parties and the applicable regulations.

24. Deposits and guarantees

Some reservations may be subject to the delivery of a deposit or bond to respond for damages, losses, delays, non-compliance or other responsibilities related to the use of the vessel.

The amount, form of constitution, receiving entity and release conditions will be communicated before contracting or delivering the vessel.

The deposit may be managed by:

  • ClicknSail.
  • The owner.
  • The shipowner.
  • Supplier.
  • A management company.
  • A payment platform.

The deposit may be made by payment, bank pre-authorization, temporary retention or other accepted method.

When damages or incidents are detected, the release may be temporarily suspended while its scope, origin and responsibility are verified.

The existence of a deposit does not necessarily limit liability for damages that exceed its amount when these are attributable to the user in accordance with the regulations and the contract.

25. Delivery and return of the boat

When applicable, delivery and return will be made at the place, date and time indicated in the reservation.

The user must check the apparent condition of the boat and report any visible incident before departure.

When an inventory or delivery document exists, the user must review it before accepting it.

The vessel must be returned:

  • Within the agreed schedule.
  • In the established place.
  • In reasonable condition of cleanliness and conservation.
  • With the equipment delivered.
  • With agreed fuel, where applicable.
  • No additional damage.
  • In accordance with the particular conditions.

When the user foresees a delay, they must communicate it immediately.

Delays may affect subsequent reservations, port schedules or third-party services and may generate the consequences provided for in the particular conditions.

26. Damage, losses and incidents

The user must immediately report:

  • Accidents.
  • Collisions.
  • Damage.
  • Abreakdowns.
  • Loss of equipment.
  • Thefts.
  • Sstranded.
  • Incidents with third parties.
  • Aactions of authorities.
  • Any situation that may affect the safety or condition of the vessel.

The user must not acknowledge responsibilities, reach agreements with third parties or order repairs without authorization, unless it is essential to avoid further damage or protect the safety of people.

The determination of responsibilities will be carried out based on:

  • The circumstances of the incident.
  • The contract.
  • The particular conditions.
  • Technical reports.
  • Insurance coverage.
  • The conduct of the parties.
  • The applicable regulations.

27. Insurance

Vessels must have legally required insurance according to their category, use and navigation area.

The specific coverage may vary depending on the vessel and the provider.

Before contracting, the user may request information about the main insurance conditions when they are relevant to the reservation.

Policies may include:

  • Coverage limits.
  • Franchises.
  • Exclusions.
  • Communication obligations.
  • Navigation restrictions.
  • Qualification requirements.
  • Conditions of use.

The existence of insurance does not exempt the user from being liable for actions that are intentional, negligent, illegal or contrary to the conditions of the reservation.

28. User Conduct

ClicknSail may reject or interrupt a reservation when the user or any passenger:

  • Put security at risk.
  • Engage in violent, threatening or abusive behavior.
  • Cause intentional damage.
  • Refuse to follow safety instructions.
  • Try illegal activities.
  • Present obvious signs of intoxication that prevent the activity from being carried out safely.
  • Seriously breach the contract conditions.
  • Provide false documentation.
  • Exceed authorized capacity.
  • You intend to use the boat for an unauthorized purpose.

Decisions to interrupt service must be taken in a proportionate manner and taking into account the circumstances.

29. Force majeure

Neither party will be liable for any failure or delay caused by unforeseeable or unavoidable events beyond its reasonable control.

Circumstances of force majeure may be considered, depending on the case:

  • Extraordinary meteorological phenomena.
  • Natural disasters.
  • Fires.
  • Epidemics or health emergencies.
  • Armed conflicts.
  • serious disturbances of public order.
  • General strikes.
  • Closing ports.
  • Authority restrictions.
  • Navigation bans.
  • Widespread failures of essential services.
  • Other events of an equivalent nature.

When a circumstance of this type occurs, the parties will try to adopt a reasonable solution, taking into account the nature of the service and the applicable regulations.

30. Responsibility of ClicknSail

ClicknSail will be responsible for the obligations that correspond to it legally and contractually according to the function it performs in each reservation.

When acting as an intermediary, it will not be responsible for events exclusively attributable to the supplier, owner, shipowner, skipper or third parties, without prejudice to responsibilities that cannot be legally excluded.

ClicknSail will also not be responsible for:

  • Breaches directly attributable to the user.
  • Incorrect information provided by the user.
  • Loss of services due to customer delay.
  • Safety decisions made by the employer.
  • Lost or damaged personal belongings, except legally attributable liability.
  • Interruptions caused by force majeure.
  • Restrictions imposed by authorities.
  • Incompatibility of a degree not previously communicated.
  • Consequences arising from non-compliance with the rules of use.
  • Failures of third parties beyond the reasonable control of ClicknSail.

No clause in these conditions shall exclude or limit liabilities that cannot be legally excluded or limited.

31. User Responsibility

The user will be responsible for any damages arising from:

  • The negligent or illicit use of the vessel.
  • Failure to comply with safety instructions.
  • The falsity of the data or documents provided.
  • The actions of people included in your reservation.
  • Navigation outside authorized areas.
  • The transfer of the boat to unauthorized persons.
  • The loss or deterioration of equipment.
  • Failure to comply with port or maritime regulations.
  • The use of the boat under the influence of alcohol or drugs.
  • Any willful or grossly negligent conduct.

Liability will be determined based on the facts, the contract, the particular conditions and the applicable regulations.

32. Personal belongings

The user will be responsible for guarding their personal belongings during the service.

ClicknSail, the skipper or the supplier will not be responsible for the loss, theft or deterioration of personal belongings, except when the damage is directly attributable to an action for which they must be legally responsible.

Found objects may be kept for a reasonable period. Shipping or recovery costs may be assumed by its owner.

33. Third Party Services

The website may include links, content or services offered by third parties, such as:

  • Payment gateways.
  • Maps.
  • Meteorological services.
  • Nautical companies.
  • Boat owners.
  • Transport services.
  • Restoration.
  • Complementary activities.
  • Port services.

The direct contracting of an external service may be subject to the conditions of the corresponding third party.

ClicknSail does not control the services contracted directly outside the platform nor will it be responsible for their conditions, unless it is legally required to assume such responsibility.

34. Intellectual and industrial property

The contents of the website, including texts, images, logos, brands, designs, databases, videos, programs and graphic elements, are protected by intellectual and industrial property regulations.

Prohibited:

  • Reproduce the contents without authorization.
  • Distribute or market them.
  • Modify them.
  • Extract databases.

  • Remove property notices.
  • Use trademarks or logos without permission.
  • Perform automated techniques for massive information extraction.

ClicknSail may limit or block access when there are reasonable indications of fraudulent, abusive or contrary use to these conditions.

However, access may be interrupted by:

  • Server failures.
  • Telecommunication problems.
  • Computer attacks.
  • Causes of force majeure.

ClicknSail does not guarantee that the website will be available on an uninterrupted or completely error-free basis.

Technical interruptions will not affect the rights that correspond to the user regarding reservations already confirmed.

37. Protection of personal data

ClicknSail will analyze the claim and respond within a reasonable period of time, taking into account its complexity and the possible intervention of third parties.

When it is necessary to request information from the owner or supplier, the resolution may depend on the receipt of said information.

Consumers may resort to the complaint and conflict resolution mechanisms recognized by the applicable regulations.

40. Partial nullity

When a clause of these conditions is declared null, invalid or inapplicable, said declaration will not affect the rest of the document.

The affected clause will be interpreted or replaced, to the extent legally possible, by another that respects the regulations and is close to its original purpose.

41. Waiver and tolerance

The failure to exercise a right by ClicknSail will not imply the renunciation of exercising it later.

The tolerance of a specific breach cannot be interpreted as a general modification of the conditions or as an authorization for future breaches.

42. Assignment

The user may not transfer his reservation or his contractual rights to another person without prior authorization, when said transfer may affect the identity of the contracting party, the required documentation, the nautical qualification, the insurance or the conditions of the supplier.

ClicknSail may assign rights or obligations derived from the contractual relationship when legally possible, without reducing the guarantees recognized to the consumer.

43. Modification of the Terms and Conditions

Grupo Panian, S.L. You may modify these conditions for:

  • Adapt them to regulatory changes.
  • Reflect changes in services.
  • Incorporate new functionalities.
  • Change hiring processes.
  • Update payment methods.
  • Improve security.
  • Adapt them to operational changes.
  • Aclarify or improve your writing.

The modifications will not be applied retroactively to the detriment of the user.

Already confirmed reservations will be governed by the conditions in force at the time of contracting, unless a subsequent modification is required by regulations or is more favorable for the user.

The current version will be available on the website and will indicate its update date.

44. Conservation of the contract

ClicknSail may keep an electronic record of reservations and acceptances made for the time necessary to manage the contractual relationship and comply with its legal obligations.

The user must keep the confirmation of their reservation, proof of payment and communications related to the service.

The contract may be formalized in Spanish, without prejudice to certain communications or documents being provided in other languages.

45. Applicable legislation

These conditions will be governed by Spanish legislation.

When the user is a consumer, this choice will not deprive him of the protection that corresponds to him in accordance with the applicable mandatory regulations.

46. Jurisdiction

Any dispute will be attempted to be resolved in advance through good faith communication between the parties.

When the user is a consumer, the courts and tribunals determined by the applicable regulations will be competent, without these conditions limiting the consumer’s right to go to the courts that legally correspond to him.

When the user acts as a businessman or professional and the regulations allow for an agreement on jurisdiction, the parties submit to the courts and tribunals of Malaga, unless otherwise expressly agreed.
